TERMS AND CONDITIONS – B2B (SERVICE PROVIDERS)

1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between you (the “Service Provider”, “you”) and FIRSTMATE SERVIÇOS DIGITAIS LTDA (“First Mate Travels”, “FMT”, “we”, “our”), a company registered in Rio de Janeiro, Brazil, under CNPJ number 60.453.809/0001-09, with its registered office at Rua Visconde de Pirajá, 414, sala 718, Ipanema, Rio de Janeiro – RJ, Brazil, ZIP Code 22410-905. By creating an account and publishing services on our platform, you agree to these Terms.
2. Provider Obligations
- You must submit legal business documentation that complies with your country’s local regulations before listing services.
- You are solely responsible for updating availability, pricing, and content accuracy.
- Country Managers may assist with marketing and content edits on your behalf, but you remain responsible for all published content.
- You are fully responsible for the legality, safety, and quality of the services you offer.
3. Payments and Fees
- Providers are paid after the service has been rendered.
- Payouts are made monthly when the total amount exceeds the equivalent of USD $200.
- FMT does not deduct commissions or fees from your declared Net Prices.
- All payments are processed via Stripe. Payouts follow Stripe’s processing times and currency exchange terms.
4. Cancellations and Traveler Protection
- You may define your own cancellation policy, which will be displayed on the platform.
- If you cancel a booking last-minute, 100% of the traveler’s payment will be refunded in FMT Credits.
- You will receive a formal warning, and the traveler may request a money refund instead of credits by contacting firstmate@firstmatetravels.com.
- FMT may, at its sole discretion, compensate the traveler in the case of a verified failure or misconduct.
5. Account Suspension and Penalties
FMT reserves the right to suspend your provider account under the following conditions:
- Failure to pay any due amount to the platform within 15 days.
- Accumulation of 3 last-minute cancellations within a 3-month period.
- Repeated failure to respond to communication from FMT or travelers.
- Suspension notices will be issued with a 30-day grace period, unless urgent intervention is required.
6. Support and Dispute Mediation
- FMT offers a communication channel between you and travelers via the app.
- In case of disputes, informal mediation will be attempted by the Country Manager.
- Travelers may contact FMT directly through the app’s Help Center, email, or emergency number: +55(22)99849-4384.
7. Limitation of Liability
- FMT acts solely as a booking intermediary and is not responsible for:
- The accuracy, legality, or safety of your services.
- Traveler misconduct or failure to show up.
- Financial losses due to non-compliance with these Terms.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of Brazil. Any legal dispute will be submitted to the courts of Rio de Janeiro, RJ. We encourage mediation and arbitration before pursuing legal action.
9. Force Majeure
Neither party shall be held liable for failure to perform due to events beyond reasonable control, including but not limited to pandemics, natural disasters, war, government action, or civil unrest.
10. Privacy and Data Protection
By using our platform, you agree to FMT’s [Privacy Policy]. All data is handled in accordance with the Brazilian LGPD and stored securely on NAM5 (USA) servers.
